Shall, Will, Must and May
●May
"May" is permissive -meaning the actor has an option of taking an action or receiving a benefit -it expresses a right.
"May"は「許されている」の意味。行為者が行動をしたり便益を得たりする選択肢optionを持っていることを表している。
●Shall
"Shall" on the other hand, means the actor has no choice, he has a duty.
一方"Shall"は、選択肢を持たず、義務を持つのみ。
ex) At or before the closing, the Seller shall deliver the Purchase Price to the Escrow Agent
クロージングの際、もしくはその前に、販売者は(その固有の)販売価格を、エスクロー(手続代行)業者に交付しなければならない。
●権利義務は、MayとShallで
Differentiate between rights (permissive) and duties (mandatory). Rights are "May" phrases (tenants may landscape the area adjacent to the patio); duties are "shall" phrases (tenants shall clean and maintain the area around their front doors in good repair). If the word "must" could be substituted, "shall" is appropriate.
権利と義務を区別するために、権利は"May"、義務は"Shall"を使う。
もし"must"という言葉が代替可能であれば、"shall"の方が適切である。
●Willは、どう使うか?
"Will" is predictive but is otherwise similar to "Shall," as it may refer to a duty. When indicating a duty, it is best to stick to "shall" (or "must") and eliminate "Will," however, being predictive, is appropriate when speaking of future events.
"Will"は予想という意味合いがあるが、"Shall"と似ています。それは、「義務」を言及することもあります。「義務」を示す時は、"will"を使用せず、"shall"もしくは"must"を使用するのがベストです。
ただし、将来発生する事象に言及する時で予想されるということを表すときは、"will"を使用します。

僕も英文契約書を見ますが、"will"と"shall"が混ざったものがときどきあります。実際に企業でご覧になる方は、区別して読んでいますか?
<ケーススタディ>
相手方A社と自社との契約で、相手から自社にしてもらえること(つまり「債権」)は全て"will"で表現されており、自社が相手に対してすることは全て"shall"になっているという契約書があります。
"will"で書かれた部分が実行されないとき、争っても、相手は「それは"duty"ではない」と主張する可能性が高いのですね。
